1. Acceptance of Terms

By accessing or using In The Mix ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. User Eligibility & Account Types

To use this Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and truthful information during registration
• Maintain the security of your account credentials

3. Label & Production Company Verification

Verification Requirements: Record Labels and Production Companies must complete verification to access advanced features including token purchases and auto-repurchase capabilities.

• Business Documentation: Submit valid Employer Identification Number (EIN) and legal business name
• Proof of Entity: Upload business registration documents, operating agreements, or articles of incorporation
• Review Process: Verification typically takes 2-3 business days
• Rejection Policy: Fraudulent submissions may result in permanent account suspension
• Limited Access: Unverified labels cannot purchase tokens or access artist session details

4. Label Token System & Auto-Repurchase

Verified labels can purchase booking tokens for their signed artists. Tokens grant artists pre-funded studio time and simplify the booking process.

Token Tiers

• Small: $500 value for $500
• Medium: $1,500 value for $1,500
• Large: $5,000 value for $5,000

Auto-Repurchase Feature

• Threshold-Based: Set a minimum balance (e.g., $100) that triggers automatic token purchase
• Customizable Tier: Choose which token tier to auto-purchase (small, medium, or large)
• Billing: Charges occur automatically via your saved payment method
• Receipts: Tax documentation is automatically generated for each purchase
• No Refunds: Auto-repurchased tokens are non-refundable

5. Label Access to Artist Sessions

For Tax & Insurance Purposes: Verified labels have access to detailed session information for their signed artists, including:

• Booking dates, times, and durations
• Engineer details and studio locations
• Session costs and payment breakdowns
• Uploaded session files and deliverables
• Booking statuses and completion confirmations

This access is granted to facilitate proper accounting, insurance compliance, and duty-of-care obligations. Labels agree to use this information responsibly and in accordance with applicable privacy laws.

6. Tax Documentation

In The Mix automatically generates tax documentation to simplify business expense filing:

For Artists & Consumers

• Receipts for every booking (business expense documentation)
• Annual expense summaries by service category
• Itemized breakdowns of hourly rates, service fees, and taxes

For Engineers

• Invoices for every completed booking (income documentation)
• Annual income summaries
• Subscription fee receipts

For Labels

• Token purchase receipts with artist allocation details
• Artist session expense reports
• Auto-repurchase transaction records

Tax documents are available for download at any time. In The Mix does NOT provide tax advice. Consult a tax professional for proper filing guidance.

7. User Responsibilities & Safety

• Personal Safety: You are solely responsible for your personal safety when meeting with other users through the Platform. Exercise caution and common sense when arranging sessions.
• Background Verification: In The Mix does not conduct background checks on users. You are responsible for vetting anyone you choose to work with.
• Equipment & Property: You are fully responsible for the security of your equipment, instruments, and personal property. We strongly recommend insuring all equipment before listing it on the Platform.
• Meet in Public/Professional Spaces: We recommend conducting all sessions in professional studio environments or public spaces.
• Trust Your Instincts: If something feels unsafe or suspicious, cancel the session and report the user.

8. Limitation of Liability & Use At Your Own Risk

IN NO EVENT SHALL IN THE MIX, ITS OWNERS, OPERATORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

• Personal injury, assault, harassment, or any physical harm
• Theft, loss, or damage to equipment, instruments, or personal property
• Emotional distress, trauma, or mental health impacts
• Financial losses from canceled sessions, disputes, or fraud
• Quality of services, work product, or professional conduct
• Intellectual property disputes or copyright violations
• Any acts, omissions, or conduct of other users
• Any damages arising from meeting or working with other users
• Any indirect, incidental, special, consequential, or punitive damages

9. Equipment & Insurance

MANDATORY RECOMMENDATION: All users listing equipment must obtain appropriate insurance coverage before registering on the Platform.

• Engineers/Studios: Insure all studio equipment, instruments, and property
• Artists: Consider insuring valuable instruments brought to sessions
• In The Mix is NOT responsible for uninsured losses
• Users acknowledge that equipment insurance is their sole responsibility

10. Professional Conduct

All users must:

• Be respectful and courteous to all other users
• Communicate professionally and responsibly
• Honor booking commitments or provide adequate notice of cancellation
• Report inappropriate behavior or safety concerns immediately
• Respect intellectual property rights of others
• Comply with all applicable laws and regulations

11. Payments & Refunds

• All payments are processed securely through Stripe
• Service fees apply to all bookings (non-refundable)
• Refund eligibility depends on cancellation timing and engineer policies
• In The Mix does not guarantee refunds for any reason
• Payment disputes must be resolved between users; Platform facilitation is optional

12. Loyalty Program

Loyalty rewards are subject to change and may be modified or discontinued at any time. Discounts are funded by service fees and are not guaranteed to be available indefinitely.

13. Account Termination

In The Mix reserves the right to suspend or terminate accounts for:

• Violation of these Terms of Service
• Fraudulent activity or payment disputes
• Harassment or abusive behavior
• Safety concerns or reported incidents
• Any reason at our sole discretion

14. Intellectual Property

Users retain ownership of their original works. By using the Platform, you grant In The Mix a limited license to display your portfolio content for the purpose of operating the service.

15. Indemnification

You agree to indemnify and hold harmless In The Mix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your interactions with other users
• Any content you post or share

16. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
